Terms of Service

Welcome to FreightDoc. These Terms of Service ("Terms") govern your access to and use of the FreightDoc API and related services (the "Service") provided by FreightDoc ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing the API, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

FreightDoc provides a REST API for generating freight and shipping documents programmatically. The Service allows you to:

Generate bills of lading, commercial invoices, packing lists, certificates of origin, and other freight documents
Customize document templates and output formats (PDF, JSON, XML)
Validate shipping data against regulatory requirements
Integrate document generation into your existing logistics workflows

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

Maintaining the confidentiality of your API keys and account credentials
All activity that occurs under your account, whether authorized by you or not
Notifying us immediately of any unauthorized use of your account
Keeping your account information up to date

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to create an account.

4. API Usage and Rate Limits

Your use of the API is subject to the rate limits and usage quotas associated with your subscription plan. Specifically:

Each plan includes a defined number of API calls per month
Rate limits are enforced per API key on a per-minute and per-day basis
Exceeding your plan's rate limits may result in throttled requests (HTTP 429 responses)
Persistent or intentional abuse of rate limits may result in account suspension

We may adjust rate limits with 30 days' notice. Current limits are published in our API documentation.

5. Acceptable Use Policy

You agree not to use the Service to:

Generate fraudulent, falsified, or misleading shipping documents
Violate any applicable local, state, national, or international law or regulation
Facilitate illegal trade, smuggling, sanctions evasion, or other unlawful activities
Attempt to gain unauthorized access to our systems, other accounts, or data
Reverse engineer, decompile, or disassemble any part of the Service
Resell or redistribute the Service without our written consent
Transmit malware, viruses, or other malicious code through API requests
Overload or interfere with the integrity or performance of the Service

We reserve the right to suspend or terminate accounts that violate this policy without prior notice.

6. Intellectual Property

The Service, including its design, code, API specifications, documentation, and branding, is owned by FreightDoc and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You retain ownership of any data you submit to the Service and any documents generated using your data. We claim no ownership over your content.

7. Payment Terms

Paid plans are billed according to the pricing and billing cycle displayed at the time of purchase. Key payment terms include:

Payment Processing: All payments are processed securely through Stripe. We do not store your full credit card details
Metered Billing: Usage-based charges (overage fees) are calculated at the end of each billing cycle and charged to your payment method on file
Early Bird Pricing: Customers who subscribe during the early access period are guaranteed their discounted rate for a minimum of 12 months from the date of general availability launch
Refunds: Monthly subscriptions are non-refundable. If you cancel, you retain access until the end of your current billing period
Failed Payments: If a payment fails, we will attempt to charge your payment method up to three times over 10 days. If all attempts fail, your account may be downgraded or suspended

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the data practices described in the Privacy Policy.

You are responsible for ensuring that any data you submit to the Service complies with applicable data protection laws and that you have the necessary rights and permissions to process such data through our Service.

9. Disclaimers

Documents generated by FreightDoc are provided for convenience and workflow automation purposes. You - the user - are solely responsible for verifying the accuracy, completeness, and regulatory compliance of all generated documents before use in any official, legal, or commercial context.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that generated documents will meet any specific regulatory or legal requirements in your jurisdiction.

10. Limitation of Liability

To the maximum extent permitted by applicable law, FreightDoc and its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless FreightDoc and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

Your use of the Service or any documents generated through the Service
Your violation of these Terms or any applicable law
Your violation of any third-party rights
Any data or content you submit to the Service

12. Termination

Either party may terminate the agreement at any time. You may cancel your account through the dashboard or by contacting us. We may suspend or terminate your access if you violate these Terms or for any other reason with 30 days' written notice.

Upon termination:

Your API keys will be revoked immediately
You may request an export of your data within 30 days of termination
Any outstanding payment obligations survive termination
Sections 6, 9, 10, 11, and 13 survive termination

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

14. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 30 days' notice via email or a prominent notice on our website. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.
